Please read these Terms of Service ("Terms") carefully before using Physician Billing Assistant ("Service") operated by BeaverNets Technologies Inc. ("Company," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

To use this Service, you must:

• Be a licensed physician registered with the College of Physicians and Surgeons of Ontario (CPSO)
• Have a valid OHIP billing number
• Be at least 18 years of age
• Have the legal authority to enter into this agreement

3. Description of Service

Physician Billing Assistant is an AI-powered tool designed to assist licensed physicians in generating OHIP billing claims from clinical SOAP notes. The Service:

• Analyzes clinical documentation to suggest appropriate billing codes
• Provides claim validation and rejection prevention
• Facilitates secure submission of claims to OHIP
• Offers revenue analytics and reporting

4. Professional Responsibility

4.1 Physician Oversight

You acknowledge and agree that:

• You are solely responsible for all billing claims submitted through the Service
• The Service provides suggestions only; final billing decisions rest with you
• You must review and verify all AI-generated billing codes before submission
• You remain responsible for compliance with all OHIP billing regulations
• You must maintain accurate and complete clinical documentation

4.2 No Medical Advice

The Service does not provide medical advice, diagnosis, or treatment recommendations. It is a billing assistance tool only.

5. Account Registration and Security

5.1 Account Creation

You must provide accurate, current, and complete information during registration. You agree to update your information as necessary to maintain accuracy.

5.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account is not shared with unauthorized individuals

6. Acceptable Use

6.1 Permitted Uses

You may use the Service only for:

• Legitimate billing of services you have personally provided
• Documentation of actual patient encounters
• Compliance with OHIP billing requirements

6.2 Prohibited Activities

You agree NOT to:

• Submit false, fraudulent, or misleading claims
• Bill for services not rendered
• Use the Service to violate any healthcare regulations
• Share your account with unauthorized users
• Attempt to reverse engineer or extract our AI models
• Use automated tools to access the Service without authorization
• Interfere with the Service's operation or security
• Upload malicious code or conduct security attacks

7. Fees and Payment

7.1 Pricing

Pricing information will be provided during the pilot program and upon general availability launch. Fees are subject to change with 30 days' notice.

7.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

7.3 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying.

8. Data Ownership and License

8.1 Your Data

You retain all ownership rights to your clinical data, patient information, and billing records. We do not claim ownership of your content.

8.2 License to Us

You grant us a limited license to process, store, and transmit your data solely to provide the Service. We may use de-identified, aggregated data to improve our AI models.

8.3 Our Intellectual Property

The Service, including all software, algorithms, AI models, designs, and trademarks, is owned by BeaverNets Technologies Inc. and protected by intellectual property laws.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to PHIPA compliance and protecting personal health information.

10. Service Availability and Modifications

10.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may suspend or restrict access for maintenance, updates, or security reasons.

10.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Guarantee of Accuracy

While we strive for accuracy, we do not guarantee that:

• All AI-generated billing codes will be correct
• Claims will be accepted by OHIP
• The Service will be error-free or uninterrupted
• All billing opportunities will be identified

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAVERNETS TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR:

• Rejected or denied OHIP claims
• Lost revenue or billing opportunities
• Indirect, incidental, or consequential damages
• Loss of data or business interruption

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless BeaverNets Technologies Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any healthcare regulations or billing rules
• Fraudulent or improper billing practices

13. Termination

13.1 By You

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund.

13.2 By Us

We may suspend or terminate your access immediately if:

• You violate these Terms
• You engage in fraudulent billing practices
• Your CPSO license is suspended or revoked
• We are required to do so by law or regulatory authority

13.3 Effect of Termination

Upon termination, you will lose access to the Service. We will provide you with an export of your data upon request for 30 days following termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

14.2 Jurisdiction

Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

14.3 Arbitration

For disputes under $25,000, both parties agree to attempt mediation before pursuing litigation.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeaverNets Technologies Inc.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

15.5 Amendments

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

17. Beta Program Terms

If you are participating in our beta or pilot program:

• The Service is provided for testing purposes and may contain bugs
• Features may change or be removed without notice
• We may request feedback and usage data to improve the Service
• Special pricing or terms may apply as communicated separately
